February 12, 2014 (Shareholders Foundation) - An investigation on behalf of investors, who currently hold shares AMCOL International Corporation (NYSE:ACO) shares, was announced concerning whether the takeover of AMCOL International Corporation by Imerys S.A. for $41.00 per share is unfair to NYSE:ACO stockholders.

The investigation by a law firm concerns whether certain officers and directors of AMCOL International Corporation breached their fiduciary duties owed to NYSE:ACO investors in connection with the proposed acquisition.

On February 12, 2014, AMCOL International Corporation announced it has signed a merger agreement with Imerys S.A. pursuant to which AMCOL International Corporation shareholders will receive USD $41 per share in cash for each share of AMCOL International Corporation common stock that they own, without interest.

However, given that at least one analyst has set the high target price for NYSE:ACO shares at $43.00 per share and that NYSE:ACO shares grew after the takeover news in the open market to $41.57 per share on February 12, 2014, the investigation concerns whether the $41-offer is unfair to NYSE:ACO stockholders. More specifically, the investigation concerns whether the AMCOL International Board of Directors undertook an adequate sales process, adequately shopped the company before entering into the transaction, maximized shareholder value by negotiating the best price, and acted in the shareholders' best interests in connection with the proposed sale.

AMCOL International Corporation reported that its annual Total Revenue rose from $826.28 million in 2010 to over $1.01 billion in 2013.

Shares of AMCOL International Corporation (NYSE:ACO) grew from $11.59 per share in March 2009 to as high as $39.08 per share in July 2011, respectively $36.46 per share in July 2013.

On February 11, 2014, NYSE:ACO closed at $36.72 per share.
