June 15, 2015 (Shareholders Foundation) - An investigation on behalf of investors, who currently hold shares of HCC Insurance Holdings, Inc. (NYSE:HCC), was announced concerning whether the takeover of HCC Insurance Holdings, Inc. by Tokio Marine Holdings, Inc for $78.00 is unfair to NYSE:HCC stockholders.

The investigation by a law firm concerns whether certain officers and directors of HCC Insurance Holdings, Inc. breached their fiduciary duties owed to NYSE:HCC investors in connection with the proposed acquisition.

On June 10, Tokio Marine Holdings, Inc. and HCC Insurance Holdings, Inc. (NYSE:HCC) announced that they have entered into a definitive agreement under which Tokio Marine Holdings, Inc will acquire all outstanding shares of HCC Insurance Holdings, Inc. However, the investigation concerns whether the offer is unfair to NYSE:HCC stockholders. More specifically, the investigation concerns whether the HCC Insurance Holdings Board of Directors undertook an adequate sales process, adequately shopped the company before entering into the transaction, maximized shareholder value by negotiating the best price, and acted in the shareholders' best interests in connection with the proposed sale.

HCC Insurance Holdings, Inc. reported that its annual Total Revenue rose from over $2.37 billion in 2011 to over $2.65 billion in 2014 and that its respective Net Income increased from $255.24 million in 2011 to $450.34 million in 2014.
